Restructuring for the Next Generation

A second-generation family business owner based in Sydney was approaching a planned transition of both operational and investment assets to the third generation. The existing structure had grown organically over two decades and was not designed for what the family now needed. The things that were missing were creating setbacks and conflicts within the family as they tried to manage tax efficiency, cross-border asset consolidation and a governance framework the next generation could operate within.

Basana Capital conducted a full-scope structural review across their Australian, Dutch and Singapore-domiciled holdings. Working with legal and tax affiliates in all jurisdictions, we designed a consolidated holding architecture that reduced structural redundancy and repositioned the family’s liquid assets within a Singapore family office vehicle. This provided them with both regulatory clarity and long-term flexibility.

The restructured framework reduced administrative overhead significantly, created a clear succession pathway for the third generation, and unlocked investment capacity that had been locked within legacy structures. The transition was completed over an 18-month engagement with no disruption to their operational business performance.

A Singapore-based family with a long track record in real estate sought to diversify into private equity in the broader Southeast Asian market.
